Kallem Sharan Simha Reddy is the Managing Director, Founder and Chief Technology Officer of KAREOPS PRIVATE LIMITED.

Acceptance of Terms

By accessing the website, submitting an enquiry, creating or using an account, or otherwise using a KareOps service, you agree to these Terms. If you do not agree, do not use the relevant service. Additional order forms, subscription agreements, data-processing terms or other written commercial terms may apply to a customer relationship. If those agreed terms conflict with these website Terms, the more specific agreed terms govern the subject of that conflict.

Eligibility and Authority

KareOps is intended primarily for businesses and persons acting in a business capacity. You must be legally capable of entering into these Terms. If you use KareOps for an organisation, you represent that you have authority to accept these Terms and provide instructions on its behalf.

The services are not directed to children. Do not create an account or submit a child's personal data unless the use, authority and consent requirements of applicable law have been reviewed and satisfied.

Accounts and Authentication

You must provide accurate and current account information and keep it updated. KareOps currently uses email-based one-time passwords for authentication. You are responsible for protecting access to your email account, OTPs, devices and authenticated session, and for activity performed through your account by persons you authorise.

Do not share an OTP, attempt to use another person's account, or bypass access controls. Notify us promptly at business@kareops.com if you suspect unauthorised access. We may request information reasonably needed to verify identity, authority or account ownership before assisting with an account.

Services

The KareOps website describes an operations and commerce platform for businesses, including capabilities relating to point of sale, inventory, orders, bookings, staff, workflows, alerts, e-commerce and analytics. Features, integrations and availability may vary by industry, plan, implementation stage and agreed commercial terms.

Website descriptions, illustrations, prototypes and referral dashboard demonstrations do not by themselves guarantee that a particular feature is generally available or included in a customer subscription. Scope and implementation commitments should be recorded in the applicable order form or other written agreement.

Demonstrations, Enquiries and Trials

You may contact KareOps, request information or propose a date and time for a demonstration through the website. A request is not confirmed until KareOps communicates confirmation. Any demonstration, evaluation access or trial is for evaluation under the conditions communicated for that offering and may have limited functionality. Unless separately agreed, an enquiry, demonstration or trial does not create a commitment to buy or provide paid services.

Subscriptions and Paid Services

Pricing or package information shown on the website is informational and may depend on business type, scope, configuration or implementation needs. The website does not currently establish complete production billing, refund, renewal or cancellation terms.

If you purchase a paid service, fees, taxes, billing arrangements, subscription period, renewal, cancellation, refunds, implementation and service-specific commitments will be governed by the applicable order form, subscription agreement or other commercial terms agreed with KAREOPS PRIVATE LIMITED. You must pay undisputed amounts according to those agreed terms.

Acceptable Use

You must not use KareOps to:

  • violate applicable law or another person's rights;
  • commit fraud, deceive others, impersonate a person or organisation, or provide materially false information;
  • gain or attempt to gain unauthorised access to an account, system, network or data;
  • introduce malware or other harmful code;
  • conduct vulnerability scanning, penetration testing or other security testing without prior written permission;
  • reverse engineer or circumvent technical controls except to the extent that applicable law does not permit that restriction;
  • interfere with, overload, disrupt or degrade the website or services;
  • misuse referral codes, rewards, credits or payout processes;
  • send spam, scrape at scale, or use bots or automation in an abusive manner; or
  • upload or process content that is unlawful, infringing, deceptive, malicious or outside your authority.

Customer and User Content

As between you and KareOps, you retain ownership of the business data, content and materials you or your organisation submit to a KareOps service. KareOps does not acquire ownership of customer business data merely because it is processed through the platform.

You grant KareOps the limited rights reasonably necessary to host, process, transmit, display, back up and otherwise handle that content to provide, secure and support the service and meet applicable legal obligations. You are responsible for the accuracy, quality and legality of submitted content and for having the rights, notices and permissions needed to provide it to KareOps.

Intellectual Property

KAREOPS PRIVATE LIMITED and its licensors retain their rights in KareOps, the website, software, branding, designs, documentation and original content, subject to third-party rights. These Terms give you a limited, non-exclusive, non-transferable right to access and use the applicable service for its intended business purpose during the period you are authorised to use it. No other rights are transferred by implication. KareOps does not claim ownership of third-party marks or materials.

Third-Party Services

KareOps may link to or interoperate with third-party websites, communications tools, analytics services, infrastructure or integrations. Third-party services are governed by their own terms and privacy notices, and their availability or conduct is outside KareOps' direct control. Your use of an optional third-party service may require a separate account or agreement with its provider.

Availability and Modifications

We aim to operate KareOps reliably, but availability may be affected by maintenance, updates, security events, internet or provider failures, and circumstances outside reasonable control. We may change, improve, replace or discontinue website content or service features. For paid services, notice and transition obligations, if any, are governed by the applicable commercial terms and applicable law.

Suspension and Termination

We may restrict or suspend access where reasonably necessary to address a security risk, suspected fraud or abuse, unlawful activity, material breach, non-payment under agreed commercial terms, or a legal requirement. Where practical and appropriate, we will provide notice and an opportunity to address the issue. Termination rights and data-return or deletion arrangements for paid services are governed by the applicable customer agreement and applicable law. Provisions that by their nature should survive termination will continue to apply.

Disclaimers

To the extent permitted by applicable law, the public website and any service provided without separate commercial commitments are made available on an "as available" basis. Website content is general product information and may contain errors or become outdated. KareOps does not guarantee uninterrupted or error-free operation, that every described capability will be available to every user, or that the service will meet requirements not recorded in agreed commercial terms. Nothing in these Terms excludes a statutory right or obligation that cannot lawfully be excluded.

Limitation of Liability

Subject to applicable law, neither party will be responsible to the other for indirect, incidental, special or consequential loss that was not a reasonably foreseeable result of the relevant breach. Liability for paid services may be addressed in the applicable commercial agreement. These Terms do not impose a monetary cap where none has been agreed, and do not limit liability that applicable law does not permit a party to limit or exclude. Each party should take reasonable steps to mitigate avoidable loss.

Indemnity

To the extent permitted by applicable law, you will be responsible for substantiated third-party claims, losses and reasonable costs arising from your unlawful use of KareOps, material breach of these Terms, or content you submit without the required rights or authority. KareOps will provide reasonable notice of a covered claim and a reasonable opportunity to participate in its defence. This section does not require indemnification for loss caused by KareOps' own breach, negligence or unlawful conduct.

Privacy

Our Privacy Policy explains how KAREOPS PRIVATE LIMITED handles personal data in connection with the website and services. Customers processing personal data through KareOps must use the service lawfully and provide notices and obtain permissions required for their own processing activities.

Cookies and Similar Technologies

Our Cookie Policy describes cookies, local storage, session storage, Google Tag Manager and related controls used or supported by the current website.

Governing Law and Disputes

These Terms are governed by the laws of India. Before commencing formal proceedings, the parties should try in good faith to resolve a dispute by contacting the other party and describing the issue. Subject to applicable law and any different dispute mechanism in agreed commercial terms, courts with jurisdiction in Hyderabad, Telangana, India will have jurisdiction. Nothing in this section prevents a party from seeking urgent interim relief or using a remedy available under mandatory law.

Changes to These Terms

We may update these Terms to reflect changes in services, business practices or legal requirements. The updated Terms will be posted on this page with a revised "Last updated" date. Where appropriate, we will give additional notice before a material change applies. Changes to signed commercial terms require the process stated in those terms.
